Terms of Service

1. Acceptance of Terms

Welcome to PropperDocs, Inc. (“PropperDocs,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our websites, applications, APIs, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and all referenced policies, including our Privacy Policy and Data Processing Addendum (DPA). If you do not agree, do not use the Services.

2. Description of Services

PropperDocs provides cloud-based electronic agreement services, including document creation, delivery, electronic signatures, authentication, workflow management, audit trails, and limited document storage (the “Services”).

We may update or modify the Services from time to time without notice.

3. Changes to These Terms

We may revise these Terms periodically. Updated versions will be posted on our website and become effective upon posting unless otherwise stated. Continued use of the Services constitutes acceptance of the revised Terms.

4. Eligibility & Account Registration

You must be legally able to enter into binding contracts to use the Services. To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your credentials
  • Be responsible for all activity under your account

Accounts are non-transferable. We may suspend or terminate accounts at any time for violations of these Terms.

5. License & Intellectual Property

5.1 License Grant

Subject to these Terms, PropperDocs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

5.2 Ownership

All intellectual property rights in the Services remain the exclusive property of PropperDocs and its licensors. No rights are granted except as expressly stated.

6. Acceptable Use Restrictions

You may not:

  • Reverse engineer, decompile, or create derivative works of the Services
  • Use the Services to build or support competing products
  • Scrape, crawl, or harvest data from the Services
  • Use the Services unlawfully or in violation of regulations
  • Interfere with system integrity or security
  • Share accounts or credentials

Violation terminates your rights immediately.

7. Fees, Billing & Cancellation

7.1 Fees: Paid plans are billed monthly or annually in advance. Fees are non-refundable unless expressly stated.

7.2 Auto-Renewal: Subscriptions automatically renew unless canceled prior to renewal.

7.3 Failed Payments: We may suspend Services for unpaid balances.

7.4 Price Adjustments: We may increase pricing annually by up to 5% without notice. Larger increases require at least 90 days’ notice.

8. User Content

8.1 Ownership: You retain ownership of all documents and content you upload (“User Content”).

8.2 License to Operate: You grant PropperDocs a limited, worldwide, royalty-free license to process User Content solely to provide the Services.

8.3 Responsibility: You are solely responsible for the legality, accuracy, and compliance of User Content.

9. Prohibited Content

You may not upload content that:

  • Is unlawful, harmful, defamatory, or abusive
  • Infringes intellectual property or privacy rights
  • Contains malware or exploits
  • Impersonates others

We may remove content or suspend accounts at our discretion.

10. No Legal Advice

PropperDocs is not a law firm and does not provide legal advice. You are responsible for determining the legal sufficiency of documents and compliance with applicable laws.

11. Electronic Communications & Signatures

You consent to electronic communications and acknowledge that electronic signatures are legally binding where permitted by law.

12. Support

Standard support is provided via email and in-app messaging during business hours unless otherwise agreed in writing.

13. Termination

Either party may terminate use of the Services. Upon termination:

  • Access ceases immediately
  • Certain provisions survive, including IP, disclaimers, indemnities, and limitations of liability

14. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • TOTAL LIABILITY IS LIMITED TO FEES PAID IN THE SIX (6) MONTHS PRECEDING THE CLAIM

16. Indemnification

You agree to indemnify and hold harmless PropperDocs from claims arising from:

  • Your use of the Services
  • Your User Content
  • Violation of these Terms or applicable law

17. Data Protection

If personal data of EU/UK residents is processed, the Data Processing Addendum (DPA) applies and is incorporated by reference.

18. Governing Law & Arbitration

These Terms are governed by the laws of the State of Georgia, excluding conflict-of-law principles.

Disputes shall be resolved by binding arbitration under JAMS rules in San Francisco, California, except for IP or injunctive claims.

YOU WAIVE THE RIGHT TO JURY TRIAL AND CLASS ACTIONS.

19. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement
  • Assignment: You may not assign without consent
  • Force Majeure: Neither party liable for events beyond reasonable control
  • Severability: Invalid provisions do not affect remaining terms
  • Survival: Certain provisions survive termination
